1. Introduction & Agreement

Welcome to NoosAI! These Terms of Service ("Terms") govern your access to and use of the NoosAI Chrome browser extension ("Extension") and the associated website located at `noosai.co.uk` ("Website"), operated by NoosAI ("we," "us," or "our").

By installing, accessing, or using the Extension or Website, you agree to be bound by these Terms and our Privacy Policy (linked here). If you do not agree to these Terms, do not install or use the Extension or Website.

2. Description of Service

NoosAI provides a Chrome Extension that allows users to perform various AI-powered actions on text from webpages. These actions include, but are not limited to, explaining concepts, simplifying text, performing AI-powered searches, analyzing sentiment, summarizing content, extracting keywords, and translating text. The service is powered by our backend which utilizes the Google Gemini API.

We offer a free plan with a daily usage limit ("Free Plan") and a paid premium subscription with unlimited usage ("Premium Plan").

3. Eligibility & Accounts

You must be at least 18 years old to purchase the Premium Plan. You are responsible for providing accurate information during the payment process handled by our payment processor (Stripe).

4. License Grant

  • Extension License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Extension for your personal or internal business purposes on devices you own or control.
  • Restrictions: You agree not to (and not to allow any third party to):
    • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Extension or backend service.
    • Modify, adapt, translate, or create derivative works based on the Extension or Service.
    • Rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Extension to any third party.
    • Remove, circumvent, disable, damage, or otherwise interfere with security-related features or usage limitations (like daily action limits).
    • Use the Extension for any illegal purpose, or in violation of any local, state, national, or international law.
    • Use the Extension in a manner that could damage, disable, overburden, or impair our servers or networks (including the Google Gemini API), or interfere with any other party's use and enjoyment of the Service.

5. Premium Tier & Payments

  • Subscription: Access to the Premium Plan requires purchasing a recurring subscription via the payment link on our Website. Payments are processed by Stripe. Your subscription will automatically renew at the specified interval (e.g., monthly) unless canceled prior to the renewal date.
  • Billing & Subscription Management: By providing payment information to Stripe, you authorize Stripe to charge the subscription fee to your selected payment method. You are responsible for keeping your payment information current. You can manage your subscription, including updating payment methods or canceling your subscription, through the Stripe customer portal. A link to the portal may be provided in your subscription confirmation email or on our Website (e.g., in the footer or help section).
  • License Key: Upon successful payment initiation, we will generate and provide you (typically via email) with a unique license key required to activate premium features within the Extension. You are responsible for safeguarding your key. Keys are intended for use by the purchaser and are generally non-transferable.
  • Usage: Premium Plan usage is intended for individual or reasonable internal business use. We reserve the right to investigate and potentially limit or suspend access for usage patterns deemed abusive, excessively high (placing undue burden on resources), or violating these Terms (e.g., sharing keys, using automated scraping).
  • Free Plan: We offer a Free Plan which provides a limited number of AI actions per day. This limit is subject to change at our discretion. Unused daily actions do not roll over.
  • Pricing Changes: We may change subscription fees by providing you with reasonable prior notice (e.g., via email or website posting). Price changes will apply to subsequent billing periods.
  • Refunds: Reach out to [email protected] for refunds.
    • Subscription fees are generally non-refundable except where required by applicable law. You may cancel your subscription at any time via the Stripe customer portal or by contacting us to avoid future charges, but no refunds will be provided for the current or past billing periods unless otherwise stated or legally required.

6. License Key Verification & Status

Activation of the Premium Plan requires entering a valid license key provided by us into the Extension. The Extension communicates with our backend service to verify the key's validity and associated subscription status (e.g., 'active'). Your continued access to unlimited usage depends on maintaining an active subscription. We reserve the right to revoke access associated with a license key if the corresponding subscription becomes inactive, canceled, refunded, or is found to be associated with fraudulent activity or violation of these Terms.

7. Intellectual Property

The Extension, Website, the NoosAI name and logo, and all related content, features, and functionality are the exclusive property of NoosAI and its licensors, protected by intellectual property laws. The license granted herein is solely for using the service as intended and does not transfer any ownership rights.

8. Third-Party Services

The Extension relies on third-party services, including but not limited to Google Gemini API (for analysis), Stripe (for payments), Google Cloud Platform (for hosting/database), and SendGrid (for email). Your interaction with these services may be subject to their separate terms and privacy policies. We are not responsible for the availability, accuracy, or practices of these third parties. The quality and nature of the sentiment analysis depend on the underlying Google Gemini model.

9. Disclaimers

THE EXTENSION AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT THE SENTIMENT ANALYSIS RESULTS WILL BE COMPLETELY ACCURATE, RELIABLE, OR SUITABLE FOR YOUR SPECIFIC NEEDS. AI MODELS CAN HAVE LIMITATIONS AND BIASES. YOUR USE OF THE SERVICE AND RELIANCE ON ITS OUTPUT IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOOSAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; ANY CONTENT OBTAINED FROM THE SERVICE; OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE LAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

11. Termination

We may terminate or suspend your access to the Service, including premium features associated with your license key, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Extension ceases. You may cancel your premium subscription at any time according to the procedures provided by Stripe or by contacting us; however, termination of use does not necessarily entitle you to a refund (see Section 5).

You can manage and cancel your subscription through the Stripe customer portal. Cancellation will typically take effect at the end of your current billing period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes (e.g., by posting on the Website or notifying via email). By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms.
